1.0 FRAMEWORK AND GENERAL OBLIGATIONS

- “Registrant” or “Client” means the entity certified by the Certifying Body.
- “Certificate” means the formal document issued by a Certifying Body under the auspices of SDAB.
- “Logo” means the official trademark, emblem, or graphic symbol of SDAB.
1.2 Compliance. Certifying Bodies must at all times conform to:
* The contractual agreement with SDAB.
* These Terms and Conditions.
* SDAB’s operational procedures, updates, and directives.
* Their own documented management system for appraisal and certification.
1.3 Evidence of Conformity. SDAB may, at its discretion, require the Certifying Body to supply reasonable evidence of compliance with Clause 1.2. Failure to submit evidence deemed acceptable by SDAB may result in additional actions, including but not limited to special audits or visits.
1.4 Charges for Non-Compliance. Any additional certification services, including visits or audits triggered by a failure to demonstrate acceptable compliance under Clause 1.3, will be charged to the Certifying Body at SDAB’s prevailing standard rate.
1.5 Prevailing Rate. Unless otherwise specified in writing by SDAB, the prevailing standard rate is Three US Dollars and Eighty Cents (USD $3.80) per minute. A standard working day for the purpose of calculating such charges is defined as Two Hundred and Fifty (250) minutes.
2.0 USE OF CERTIFICATES AND LOGOS
2.1 Permissible Use. A Certifying Body and its certified Clients may use the SDAB logo and refer to SDAB certificates only in relation to the specific scopes of activity that have been assessed and registered.
2.2 Obligation to Inform. The Certifying Body must take reasonable steps to ensure its Clients understand and acknowledge any areas of their business for which they have not been assessed or registered under SDAB. The Certifying Body is responsible for ensuring Client compliance with this clause.
2.3 Condition of Use. The right to use the SDAB logo is granted only after receipt of full payment by SDAB from the registered Certifying Body and is valid solely for the duration covered by the paid registration fees.
2.4 Financial Liability. Registered Certifying Bodies are directly liable to SDAB for the registration fee due for each and every certificate they issue under SDAB’s auspices or bearing the SDAB logo. This liability may be offset only if SDAB receives the fee directly from the certified Client, subject to prior written agreement with SDAB.
2.5 Unauthorized Logos. The use of any other logo, mark, or symbol (e.g., ‘Crown and Tick’) in conjunction with or implying a connection to SDAB accreditation is strictly prohibited and falls outside SDAB’s purview.
2.6 Intellectual Property. All copyright and intellectual property rights arising from SDAB’s work, processes, and accreditation framework remain the exclusive property of SDAB. This includes materials and certifications produced by the Certifying Body that fall within the scope of SDAB accreditation, unless a separate written agreement states otherwise.
3.0 NOTIFICATION
3.1 Form of Notice. Any formal notification required under these Terms and Conditions, SDAB’s management system, or the contractual agreement between SDAB and a Certifying Body must be:
* In writing.
* Signed by or on behalf of the party giving it.
* Served by one of the methods in Clause 3.2.
3.2 Methods of Service. A notice may be served by:
* Personal delivery to the registered address; or
* Sending it by pre-paid recorded delivery or registered post.
3.3 Deemed Service.
* For notices sent within INDIA, service is deemed effective 76 hours after posting.
* For notices sent outside INDIA, service is deemed effective 15 days after posting.
* Proof that an envelope containing the notice was properly addressed, prepaid, and posted shall be conclusive evidence of service.
4.0 TERMINATION OF CERTIFICATE AND REGISTRATION
4.1 Withdrawal by SDAB. SDAB reserves the unconditional right to withdraw any certificate (which remains SDAB’s property at all times) and revoke the right to use its logo from any Certifying Body found to be in non-compliance with these Terms and Conditions.
4.2 Obligations Upon Termination. Upon notification of termination or suspension of accreditation services:
* The Certifying Body must immediately cease all use of the SDAB logo and any promotional material containing it or referencing SDAB accreditation.
* The Certifying Body must, if requested by SDAB, promptly modify or destroy any documents in its possession that bear reference to SDAB accreditation to eliminate such reference.

5.0 NATURE OF SDAB ACCREDITATION & CERTIFICATION
5.1 Scope of Service. SDAB provides accreditation services based on its own assessment. These services involve evaluating a Certifying Body’s and, by extension, its Clients’ ability to meet SDAB’s criteria for registration.
5.2 Meaning of Accreditation. Unless expressly stated otherwise, SDAB’s listings, statements, and certificates signify that, in SDAB’s opinion, the Certifying Body has demonstrated the capability to operate within the scope of activities and standards specified on the certificate. It does not constitute a guarantee of performance.
5.3 Limitations of Accreditation.
* SDAB does not guarantee the public visibility or market recognition of a Certifying Body’s listing.
* Listing status can be verified directly by the Certifying Body or its Client with the relevant SDAB registrar.
* SDAB does not certify full and continuous compliance with any referenced standard. Factors such as the sampling quality of audits conducted by the Certifying Body and the CB’s adherence to its own procedures when SDAB is not present are beyond SDAB’s direct control.
* Assessments of compliance by other organizations or individuals may differ from those of SDAB. The SDAB certificate is not a statement of absolute, guaranteed compliance.
6.0 FURTHER GUIDANCE, AUTHORITY, AND REPRESENTATIONS
6.1 Seeking Advice. Certifying Bodies and their Clients are strongly advised to seek independent professional advice when engaging with accreditation services.
6.2 Limits of SDAB’s Authority. The authority vested in SDAB is strictly limited to that granted by its internal framework for the contracted accreditation services. No claim is made regarding legal, regulatory, or governmental authority unless explicitly specified in writing by SDAB.
6.3 Prohibited Representations. Certifying Bodies are expressly forbidden from stating, implying, or causing it to be inferred that SDAB registration constitutes or implies:
* The support, approval, or license of the United States government.
* The endorsement of any other national, state, provincial, or regional legislative or governmental agency, commission, or body.
7.0 GOVERNING LAW AND REGULATION
7.1 Applicable Law. These Terms and Conditions and all activities of SDAB are governed by and construed in accordance with the laws of Delaware, INDIA.
7.2 Limitation of Liability. SDAB shall not be held liable retrospectively for any consequences, costs, or damages arising from changes in law or the introduction of new legal or governmental instruments that may subsequently affect or contradict SDAB’s activities or the framework under which accreditation was originally granted.
8.0 PAYMENTS
8.1 Payment Terms. SDAB requires all registered Certifying Bodies to remit fees strictly according to the terms specified in their individual Service Agreement. Unless an alternative payment schedule has been explicitly approved by SDAB in writing, all fees are due in advance. This requirement applies to fees for the Certifying Body’s own accreditation maintenance and, unless otherwise structured, to fees associated with certificates issued to their Clients. Failure to adhere to the agreed payment schedule constitutes a material breach and may result in the immediate suspension of accreditation services and logo usage rights.
8.2 Non-Refundable Nature of Fees. All fees paid to SDAB are expressly non-refundable, regardless of the circumstances. This policy applies even if the Certifying Body’s registration is suspended, terminated, or voluntarily withdrawn, or if a Client’s certification is not granted or is later rescinded. Payment to SDAB is made solely in consideration for the administrative, assessment, and oversight services provided by SDAB up to the point of any termination. It does not constitute a guarantee of a specific result, a successful outcome for any assessment, or continued accreditation. No further rights or entitlements should be inferred from the act of payment beyond the provision of the described accreditation services for the relevant period.
8.3 Issuance of Receipts. For accounting and record-keeping purposes, SDAB will generate an internal record of all payments received. However, a formal payment receipt will be issued to the payer only upon receipt of an express, written request. It is the responsibility of the Certifying Body to request such documentation for their financial records. SDAB is not liable for any accounting or fiscal discrepancies resulting from a payer’s failure to request and retain a formal receipt.

Certifying Body Acknowledgment: By signing the associated contract, the Certifying Body confirms it has read, understood, and agrees to be bound by these Terms and Conditions in their entirety.
